These Terms of Service (“Terms”) govern your access to and use of the MorganMeridian website, mobile application, wallets, trading interface, and related services (collectively, the “Platform”), operated by MorganMeridian Ltd (“we”, “us”, “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms form a legally binding agreement between you and MorganMeridian Ltd, a company registered in England and Wales. We are registered with the Financial Conduct Authority (FCA) as a cryptoasset firm under the Money Laundering Regulations 2017 (as amended) and comply with the UK GDPR, the Data (Use and Access) Act 2025 (DUA Act), PECR, and relevant FCA guidance on cryptoassets.
You must be at least 18 years old, reside in a permitted jurisdiction (excluding sanctioned countries), and not be barred under UK law or international sanctions. You must complete full KYC/AML verification (identity, address, source of funds) before accessing trading, deposits, or withdrawals.
Your Account is for personal use only (or internal business use if permitted). You are solely responsible for securing your credentials, private keys (where self-custody applies), and 2FA. We are not liable for losses due to compromised credentials or phishing.
We may suspend/terminate Accounts for AML/sanctions violations, fraud suspicion, or non-compliance.
The Platform allows viewing cryptoasset prices, depositing/withdrawing qualifying cryptoassets, spot trading (buy/sell), wallet storage (custodial), and limited features like staking (where available and compliant).
All services are **execution-only** — we do **not** provide investment advice, recommendations, portfolio management, or financial/tax advice. No content on the Platform is a solicitation or recommendation to buy, sell, hold, or trade any cryptoasset.
We do **not** offer derivatives, futures, options, or leveraged products to retail users (per FCA restrictions). Credit card purchases of cryptoassets are restricted to prevent unsustainable debt.
Deposits/withdrawals are subject to network fees, minimums, and blockchain confirmations. We use multi-signature and cold storage for custodial wallets but provide no insurance against hacks/theft (beyond mandatory safeguards). You bear full risk for on-chain transfers.
We may impose holds, limits, or reject transactions for AML/compliance reasons. Withdrawals to external wallets require verification.
You agree not to:
We monitor for suspicious activity and report to authorities (e.g., NCA, FCA) as required.
All Platform content, software, trademarks, and market data are our property or licensed. Limited licence granted for personal use.
User-submitted content (e.g., trade comments) grants us a perpetual licence. You warrant no infringement.
The Platform and cryptoasset data are “as is”. We disclaim accuracy, timeliness, completeness of prices/data. Blockchain risks (forks, 51% attacks, smart contract bugs) are yours.
Third-party links/exchanges not endorsed. We are not liable for external wallet losses or network failures.
To the maximum extent permitted by law, we exclude indirect, consequential, or punitive damages (including lost profits, crypto value decline). Total liability limited to fees paid in prior 12 months (or £100 if none).
You indemnify us against claims from your breach, misuse, or violation of laws/rights.
We may update Terms (notice via email/Platform). Continued use = acceptance. We can suspend/terminate access anytime for violations or regulatory reasons.
Governed by laws of England and Wales. Exclusive jurisdiction of English courts. Informal resolution encouraged first.
